Chapter Partner Agreement

1. What this is

This agreement governs the Bedside Chapter Partner program, separate from the individual Student Advocate program described in our Advocate Agreement and from the in-app referral program described in our Terms of Service. Applying to and participating in this program means you accept these terms in addition to the regular Terms of Service.

2. Eligibility

Your chapter must be a nursing student association chapter or state association, and you must be a current officer with authority to apply and act on the chapter’s behalf. You’ll need an active Bedside account and be approved by us before any referral counts toward payment. We may reject or remove a chapter at our discretion, including for suspected fraud, misuse, or violation of these terms.

3. What qualifies as a paid referral

A referral qualifies only when a member signs up using the chapter’s referral code and completes their first purchase of a Rotation Pass or NCLEX Cram Pass. A Single Session purchase does not qualify. Each referred student can only ever generate one paid referral, no matter how many purchases they make afterward. Signing up with a free pass code we issue to your chapter under Section 4 does not itself generate a paid referral.

4. Rate and free passes

Approved chapters are paid $5 per Rotation Pass and $12 per NCLEX Cram Pass referred, starting from the date of approval. Unlike the individual advocate program, this rate does not climb with volume. It applies from day one and stays the same regardless of how many members you refer. We may change this rate at any time; a rate change never affects a referral that has already converted.

We’ll also issue your chapter a batch of free passes to distribute to members at your discretion. A free pass is a one-time purchase with no auto-renewal; access to it ends automatically at the end of its term. Free passes are ours to allocate and may be limited in number or discontinued at any time.

5. When you get paid

Earnings become payable 30 days after a member’s purchase, to cover the App Store and Google Play refund window. If that purchase is refunded before the 30 days are up, the referral is voided and does not pay out. If a refund happens after you’ve already been paid, we’ll deduct the amount from a future payout rather than asking for it back directly.

6. Payment method, officer changes, and reporting

We pay by PayPal, Venmo, or Zelle, to whichever handle the applying officer provided. It’s your chapter’s responsibility to email us before your next payout if the officer who applied graduates, hands off the role, or the payout handle otherwise needs to change. We aren’t responsible for a payout sent to a handle on file that your chapter failed to update.

If your chapter’s total payments in a calendar year reach the IRS threshold for reporting non-employee compensation (currently $600), we’ll ask for a completed Form W-9 before releasing further payment, and we may issue a Form 1099-NEC. Your chapter is responsible for reporting this income and any taxes owed on it.

7. No self-referral, no fake accounts

Referring an account controlled by the applying officer, or an account created solely to generate a payout, is not allowed and voids any resulting payment. We monitor for unusual referral patterns and may withhold payment, remove your chapter from the program, or take other action if we suspect this is happening.

8. No incentivized reviews, ever

Your chapter may not solicit, request, or offer anything in exchange for an App Store or Google Play rating or review, whether or not it relates to this program. This isn’t something we ask chapters to do under any circumstance, paid or otherwise, and doing so is grounds for immediate removal from the program.

9. Disclosure

If your chapter posts about Bedside as part of this program, that post must clearly disclose that the chapter earns money from it (for example, “#ad” or “paid partnership”), consistent with FTC endorsement guidelines. This applies everywhere your chapter posts about the program, not just in a caption once.

10. Independent contractor

Your chapter is participating as an independent contractor, not an employee, agent, or partner of NurseKind AI LLC. Nothing in this agreement creates an employment relationship, and your chapter is responsible for its own taxes, as described above.

11. Changes and termination

We may modify, pause, or end the Chapter Partner program at any time, including changing the rate, free pass allocation, or eligibility going forward. We’ll honor payouts already earned under the terms in place when they converted. We may remove a chapter from the program at any time for violating these terms.
